You may resell your used copy, following the rules below, but not in bulk for profit.<\/li>\n \t<li>Polyverse generally provides updates and support to improve your experience, while not guaranteeing indefinite service.<\/li>\n \t<li>We collect only the minimal personal data needed to serve you and do not sell your personal information. See our Privacy Policy for details.<\/li>\n \t<li>Don\u2019t use cracked versions, share your license key, or violate others\u2019 rights.<\/li>\n \t<li>If the Software fails to meet applicable warranty requirements, we will repair, replace, or refund your purchase as required by law.<\/li>\n \t<li><span style=\"font-size: 17px; background-color: transparent;\">Certain legal frameworks, such as the UN Convention on Contracts for the International Sale of Goods and UCITA, do not apply.<\/span><\/li>\n \t<li>Specific export restrictions apply to certain countries and regions.<\/li>\n<\/ul>\n(This summary is non-binding; the full EULA governs your use.)\n\n<hr \/>\n\n<strong>POLYVERSE MASTER END USER LICENSE AGREEMENT<\/strong>\n\n<strong>Effective Date: Jan 1, 2025<\/strong>\n\n<strong>Definitions<\/strong>\nFor clarity, the following terms shall have the meanings set forth below. Other terms may be defined in context within this Agreement.\n<ul>\n \t<li><strong>\u201cAuthorized Copy\u201d<\/strong> means a copy of the Software lawfully obtained directly from Polyverse or from an Authorized Reseller.<\/li>\n \t<li><strong>\u201cAuthorized Reseller\u201d<\/strong> means a distributor or retailer with a written agreement from Polyverse to sell original, new copies of the Software.<\/li>\n \t<li><strong>\u201cPersonal Use\u201d<\/strong> means installation and operation of the Software solely for your own private, non-commercial purposes.<\/li>\n \t<li><strong>\u201cSoftware\u201d<\/strong> means the Polyverse software plug-ins and any related updates, bug fixes, or enhancements provided by Polyverse.<\/li>\n \t<li><strong>\u201cYou\u201d or \u201cYour\u201d<\/strong> refers to the individual, company, or other legal entity accepting this Agreement and using the Software.<\/li>\n<\/ul>\nThis End User License Agreement (\u201cEULA\u201d or \u201cAgreement\u201d) is a legal agreement between you and Polyverse Music Inc. (\u201cPolyverse\u201d) governing your use of Polyverse software plug-ins (the \u201cSoftware\u201d). By installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.\n\n<ol>\n \t<li><strong>Authorized Copy and License Grant<\/strong>\nThe Software is licensed, not sold. An \u201cAuthorized Copy\u201d is a copy of the Software lawfully obtained from Polyverse or an Authorized Reseller (as defined below). If you do not have an Authorized Copy, you have no rights to use the Software.\n\nSubject to this EULA, Polyverse grants you a non-exclusive, non-transferable (except as permitted under Section 3), non-sublicensable, revocable, worldwide license to install and use an Authorized Copy of the Software on up to four (4) computers you own simultaneously, for your personal use. Any rights not expressly granted are reserved by Polyverse.\n\nIf you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this EULA, and that such entity agrees to be responsible for any breach of this EULA by its users.<\/li>\n \t<li><strong>Authorized Sources; Authorized Resellers<\/strong>\nThe Software must be acquired from Polyverse or an Authorized Reseller. An \u201cAuthorized Reseller\u201d is a distributor or retailer that has a written agreement with Polyverse to sell original, new copies of the Software. Acquisitions from parties not authorized by Polyverse are prohibited.<\/li>\n \t<li><strong>Resale by End Users (Second-Hand Sales)<\/strong>\nSubject to any mandatory local laws granting resale rights, you may resell your personal, used copy of the Software, provided that:\n<ol type=\"a\">\n \t<li>You permanently delete and remove all copies of the Software from your devices;<\/li>\n \t<li>You contact Polyverse\u2019s support department to request and initiate the license transfer;<\/li>\n \t<li>The new owner explicitly confirms to Polyverse that they agree to provide their personal information (as required by Polyverse\u2019s Privacy Policy) for registration and accept that these details will be associated with the transferred license; and<\/li>\n \t<li>You do not resell more than two (2) copies of the same Software product within any twelve (12) month period.<\/li>\n<\/ol>\nAcquiring multiple licenses primarily for the purpose of resale, beyond the limited second-hand allowances above, is prohibited. Any attempt to bypass these restrictions may result in license revocation. This restriction does not apply to Authorized Resellers operating under a separate written agreement with Polyverse.\n\nNFR (Not For Resale) or Gifted Licenses of the Software are provided solely for the personal use of the original recipient. Such licenses are not eligible for resale, and any purported resale or transfer of these licenses is strictly prohibited.<\/li>\n \t<li><strong>Restrictions on Use<\/strong>\nExcept where allowed by mandatory law, you may not:\n<ol type=\"a\">\n \t<li>Copy, reproduce, or distribute the Software beyond what is needed for normal installation and use;<\/li>\n \t<li>Rent, sell, sublicense, or otherwise commercialize the Software, except as permitted for Authorized Resellers and second-hand sales under Section 3;<\/li>\n \t<li>Modify, translate, reverse engineer, decompile, or disassemble the Software, unless such acts are permitted by mandatory law (e.g., certain EU interoperability rights);<\/li>\n \t<li>Incorporate the Software into other software or hardware, or create derivative works;<\/li>\n \t<li>Circumvent or attempt to circumvent technical measures designed to prevent unauthorized use;<\/li>\n \t<li>Use any unauthorized or \u201ccracked\u201d versions of the Software;<\/li>\n \t<li>Share, distribute, or provide your license key to others not authorized to use it.<\/li>\n\n<\/ol\n\n\n\n<ol>\n \t<li><strong>Open Source Components<\/strong>\nIf the Software includes open source components, those are subject to their respective licenses. Nothing in this EULA limits rights granted under such open source licenses.<\/li>\n \t<li><strong>Third-Party Components<\/strong>\nIn addition to any open source components, the Software may include other third-party software or materials subject to their own license terms (\u201cThird-Party Components\u201d). Your use of such Third-Party Components is governed solely by their respective license terms. Nothing in this EULA limits or alters the rights or obligations set forth in those third-party licenses.<\/li>\n \t<li><strong>Intellectual Property and Marks<\/strong>\nPolyverse or its licensors own all intellectual property rights in the Software, including its structure, organization, and code. These are valuable trade secrets.\n\nAll Polyverse trademarks, brand names, and logos (\u201cMarks\u201d) are the property of Polyverse. You acquire no rights to use these Marks without prior written authorization from Polyverse.<\/li>\n \t<li><strong>Updates and Support<\/strong>\nPolyverse may, at its discretion, provide updates, bug fixes, enhancements, and support to improve the Software and your user experience. While not guaranteeing indefinite support or updates, Polyverse endeavors to help users and maintain functionality as reasonably possible. Nothing herein obligates Polyverse to provide a particular level of support or updates, except as required by applicable law.<\/li>\n \t<li><strong>Data Collection, Privacy, and No Sale of Personal Information<\/strong>\nPolyverse collects only the minimum personal information necessary to process your purchase, verify your license, and provide related services. Polyverse does not sell your personal information. All data is handled in accordance with the Polyverse Privacy Policy (available at <a href=\"https:\/\/polyversemusic.com\/stg\/privacy-policy\/\">https:\/\/polyversemusic.com\/stg\/privacy-policy\/<\/a>) and applicable data protection laws. By using the Software, you consent to this data processing to the extent permitted by law.<\/li>\n \t<li><strong>Limited Warranty and Statutory Rights<\/strong>\nIn regions without stricter legal requirements, Polyverse provides a limited warranty that, for thirty (30) days from your purchase date, the Software will perform substantially as described in its accompanying materials. If, during this 30-day period, the Software does not meet this standard, Polyverse will, at its discretion, repair the Software, replace it, or refund the amount you paid.\n\nThis 30-day limited warranty is a baseline. It does not replace or reduce any mandatory rights you may have under applicable laws. If your local law grants you more extensive protections or a longer period to claim remedies, those legal rights take precedence over anything stated here.<\/li>\n \t<li><strong>Disclaimer of Additional Warranties<\/strong>\nExcept as required by mandatory law, the Software is provided \u201cas is.\u201d Polyverse does not guarantee that the Software will be error-free, uninterrupted, or fit for a particular purpose. To the extent local law grants non-excludable warranties, those take precedence over this disclaimer.<\/li>\n \t<li><strong>Customer Remedies and Discretionary Satisfaction Consideration<\/strong>\nIf the Software is defective or fails to meet the standards required by law, you may be entitled to repair, replacement, or a refund as mandated by local regulations. Polyverse will honor any mandatory consumer protections that apply to you.\n\nAdditionally, if you are simply not satisfied with the Software within fourteen (14) days from the date of purchase, you may contact Polyverse to explain why you are unhappy. We value your feedback and may, at our sole discretion, offer you a refund even if the Software is not defective. However, if we have a reasonable basis to believe that the request is made in bad faith\u2014such as using the Software temporarily with no genuine intent to keep it\u2014Polyverse reserves the right to decline such a refund.\n\nIn all cases, we aim to treat you fairly, respect your rights under the law, and learn from your input so we can continue improving our products.<\/li>\n \t<li><strong>Limitation of Liability<\/strong>\nTo the extent permitted by law, Polyverse, its suppliers, and licensors are not liable for indirect, incidental, punitive, or consequential damages (including lost profits or data). If liability cannot be fully excluded under applicable law, it shall be limited to the amount you paid for the Software. Mandatory consumer protections in your jurisdiction override this limitation where they apply.<\/li>\n \t<li><strong>Revocation and Disabling of License Keys<\/strong>\nThis license is revocable. Polyverse may revoke your license and terminate this Agreement if:\n<ol type=\"a\">\n \t<li>You fail to comply with this EULA;<\/li>\n \t<li>You engage in fraudulent or unauthorized use of the Software;<\/li>\n \t<li>You attempt unauthorized resale contrary to Section 3; or<\/li>\n \t<li>Required by law.<\/li>\n<\/ol>\nPolyverse may also disable any license key found to be duplicate, unauthorized, or obtained improperly. Upon termination, you must cease using and destroy all copies of the Software. Termination does not limit any other rights or remedies available to Polyverse.<\/li>\n \t<li><strong>Exclusions of Certain Legal Frameworks<\/strong>\nThe United Nations Convention on Contracts for the International Sale of Goods does not apply. The Uniform Computer Information Transactions Act (UCITA), as enacted in any jurisdiction, is also excluded.<\/li>\n \t<li><strong>Export Restrictions<\/strong>\nThe Software is subject to U.S. export control laws and regulations, and may be subject to export or import laws and regulations in other countries. You agree to comply with all applicable laws and regulations, including U.S. export control laws and trade sanctions. You represent and warrant that you are not located in a country subject to U.S. embargo or trade sanctions, and that you are not on any U.S. government list of prohibited or restricted parties. You further agree that you will not use the Software for any purposes prohibited by U.S. law, including the development of nuclear, chemical, or biological weapons, or missile technology.<\/li>\n \t<li><strong>Dispute Resolution and Governing Law<\/strong>\nThis Agreement is governed by California law, excluding conflict of law rules. If you are a consumer in the EU or another jurisdiction with mandatory consumer protections, your local consumer protection laws prevail in case of conflict.\n\nNothing in this section limits your mandatory right to seek redress in your home jurisdiction.<\/li>\n \t<li><strong>Preservation of Mandatory Rights<\/strong>\nNothing in this EULA is intended to exclude or limit any mandatory rights you have under local law. If any term conflicts with a mandatory legal requirement, that requirement takes precedence.<\/li>\n \t<li><strong>Severability and No Waiver<\/strong>\nIf any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of that provision.<\/li>\n \t<li><strong>No Obligation to Enforce<\/strong>\nNothing in this EULA shall be construed as requiring Polyverse to monitor, enforce, or take legal action concerning any potential infringement of its intellectual property rights, nor shall it require Polyverse to prosecute any claims against third parties on your behalf.<\/li>\n \t<li><strong>Entire Agreement<\/strong>\nThis EULA constitutes the entire agreement between you and Polyverse regarding the Software, superseding any prior agreements. Any changes must be in writing and signed by Polyverse.<\/li>\n \t<li><strong>Survival<\/strong>\nAny terms intended to survive termination, including intellectual property, warranties, and liability limitations, remain in effect after termination.<\/li>\n \t<li><strong>Changes to this Agreement<\/strong>\nPolyverse may update or modify this EULA from time to time. In the event of a material change, Polyverse will make reasonable efforts to notify you (for example, by posting the updated agreement on our website or through an in-product notification). Your continued use of the Software after the effective date of the modified EULA constitutes your acceptance of the updated terms.
